End-User License Agreement

This End-User License Agreement (“EULA”) is a legal agreement between you (“you” or “Licensee”) and Salestrics Inc. (“Salestrics,” “we,” “us,” or “our”) for the software that powers the Salestrics revenue workspace — including web and application interfaces, APIs, hosted Model Context Protocol (MCP) endpoints, mobile or desktop clients we may offer, documentation, and any updates or supplements we provide (collectively, the “Software”). The Software is accessed through mysalestrics.com, related application URLs, and associated services described at salestrics.com.
By installing, accessing, or using the Software, you agree to this EULA. If you do not agree, do not use the Software. If you use the Software on behalf of an organization, you represent that you have authority to bind that organization. This EULA supplements our Terms of Service, which govern your use of the Service as a whole. If there is a conflict between this EULA and the Terms regarding the Software, this EULA controls for license matters; the Terms control for subscriptions, acceptable use, and service-level matters.
1. License grant
Subject to your compliance with this EULA and the Terms, Salestrics grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely for your internal business purposes and only as permitted by your subscription plan, organization role, and in-product settings.
For organization workspaces, the license is granted to the organization. Organization administrators may authorize users (“Authorized Users”) to access the Software under seats and permissions assigned by the organization. Each Authorized User must comply with this EULA.
2. Scope of the Software
The Software includes, without limitation:
- Cloud-hosted application modules (CRM, mail, workspace, finance, support, analytics, automation, AI, and related tools)
- Hosted MCP server endpoints, discovery metadata, and tool interfaces made available to external AI clients you configure
- APIs, SDKs, client configuration snippets, and bridge packages we publish for connecting approved third-party clients
- Documentation, sample code, and in-product help content
- Any optional downloadable or installable client we provide for the Service
The Software is licensed, not sold. No ownership of the Software or underlying intellectual property transfers to you under this EULA.
3. License restrictions
Except as expressly permitted by law or by Salestrics in writing, you will not:
- Copy, modify, adapt, translate, or create derivative works of the Software
- Reverse engineer, decompile, disassemble, or attempt to derive source code from the Software, except where such restriction is prohibited by applicable law
- Rent, lease, lend, sell, sublicense, distribute, or make the Software available to third parties as a hosted or managed service competing with Salestrics
- Remove, alter, or obscure proprietary notices on or in the Software
- Use the Software to develop a competing product or service that substitutes for the Salestrics platform
- Circumvent technical limits, license keys, rate limits, access controls, or security measures
- Use MCP API keys or credentials outside your organization or share keys in violation of our documentation or the Terms
- Use the Software in violation of applicable export control, sanctions, or anti-corruption laws
4. MCP and API access
If your plan includes MCP or API access, your license extends to connecting approved external clients to your organization workspace using credentials we issue. You are responsible for securing API and MCP keys, rotating compromised credentials, and ensuring connected clients and agents comply with the Terms and this EULA. Salestrics may log client type and usage for security, billing, and audit purposes as described in our Privacy Policy.
5. Customer data and content
You retain ownership of data and content you submit through the Software. Your license to use the Software does not grant Salestrics ownership of Customer Data. You grant Salestrics the limited rights necessary to host, process, transmit, and display Customer Data to provide the Software and related services, as further described in the Terms and Privacy Policy.
6. Updates and changes
Salestrics may provide updates, patches, new features, or modified versions of the Software at any time. We may change or discontinue features with or without notice, consistent with the Terms. Updates are part of the Software and subject to this EULA unless accompanied by separate terms — in which case those terms apply to the extent of any conflict with respect to the update.
7. Open-source and third-party components
The Software may include or depend on open-source or third-party components. Those components may be subject to separate license terms presented in-product, in documentation, or in a notices file. To the extent required by applicable open-source licenses, those licenses govern your use of the covered components. Third-party services integrated with Salestrics are not part of the Software and are governed by their own terms.
8. Feedback
If you provide suggestions, ideas, or feedback about the Software, you grant Salestrics a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without obligation to you. Do not submit feedback you wish to keep confidential unless we agree otherwise in writing.
9. Ownership
Salestrics and its licensors own all right, title, and interest in and to the Software, including all intellectual property rights. Salestrics names, logos, and trademarks are our property. No rights are granted except as expressly stated in this EULA.
10. Term and termination
This EULA is effective when you first access the Software and continues until terminated. Salestrics may suspend or terminate your license if you breach this EULA or the Terms, if your subscription ends, or if required for security or legal reasons. You may stop using the Software at any time. Upon termination, your license ends immediately and you must cease all use of the Software. Sections that by nature should survive — including restrictions, ownership, disclaimers, limitation of liability, and governing law — will survive termination.
11. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.” SALESTRICS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSES.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SALESTRICS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SOFTWARE OR THIS EULA. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SOFTWARE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SALESTRICS FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted by law.
13. Export and government use
You may not use or export the Software except as authorized by U.S. law and the laws of the jurisdiction in which the Software is accessed. You represent that you are not located in, under the control of, or a national or resident of any country or person subject to U.S. embargo or sanctions. The Software is commercial computer software; if acquired by or on behalf of the U.S. Government, use is subject to the restrictions in FAR 52.227-19 and applicable agency supplements.
14. Changes to this EULA
We may modify this EULA by posting an updated version on this page and updating the effective date. Material changes may be communicated by email or in-product notice where appropriate. Continued use of the Software after changes become effective constitutes acceptance. If you do not agree, stop using the Software and cancel your subscription as described in the Terms.
15. Governing law
This EULA is governed by the laws of the State of Tennessee, United States, without regard to conflict-of-law principles. Except where prohibited, exclusive jurisdiction for disputes relating to this EULA will be in state or federal courts located in Tennessee, and you consent to personal jurisdiction there.
